This page sets out the terms, delivery, refund and cancellation, and privacy policies that apply to Progle Ltd ("Progle", "we", "us", "our") and its website progle-soft.com. By using our website or engaging our services, you agree to the terms below.

1. About Progle

Progle Ltd is a company registered in Scotland under company number SC634848, with its registered office at 1037 Sauchiehall Street, Glasgow, G3 7TZ, United Kingdom. Progle provides professional software development and related technical services to business clients.

Our B2B services are offered exclusively to businesses. We also distribute certain digital products to end users via itch.io; those transactions are processed by itch.io under itch.io's own terms, and any refund, delivery, or shipping questions for itch.io purchases are handled in accordance with itch.io's policies, not this page. By engaging Progle for B2B services, the client confirms it is acting in the course of a business.

2. Terms & Conditions

2.1 Services. Progle provides software development and related professional services on a time-and-materials basis, charged against hours worked by Progle LTD personnel.

2.2 Signed agreements prevail. All client engagements are governed by an individually negotiated written agreement (a Contract) signed between Progle and the client. Where such an agreement exists, its terms prevail over the terms on this page to the extent of any conflict. The terms on this page apply as a default framework and to any pre-contractual interactions.

2.3 Fees and payment. Fees are charged at the rates set out in the applicable Statement of Work or order. Invoices are payable within the period stated on the invoice. Card payments processed via Wise are accepted at Progle's discretion. Late payment may incur interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

2.4 Intellectual property. Ownership of work product is governed by the signed agreement between the parties. In the absence of a signed agreement, PROGLE retains all rights in pre-existing materials and tools, and grants the client a non-exclusive licence to use deliverables for their internal business purposes upon full payment.

2.5 Confidentiality. Each party will keep the other's confidential information confidential and use it only for the purposes of the engagement.

2.6 Liability. To the fullest extent permitted by law, Progle's total liability arising out of or in connection with any engagement is limited to the fees paid to Progle for the specific services giving rise to the claim. Progle is not liable for indirect, consequential, special, or loss-of-profit damages. Nothing in these terms limits liability that cannot be limited by law.

2.7 Governing law. These terms and any dispute arising out of them are governed by the laws of Scotland, and the parties submit to the exclusive jurisdiction of the Scottish courts, unless a signed agreement specifies otherwise.

3. Delivery Policy

Progle provides professional software development and consultancy services on a time-and-materials basis. Our service consists of hours of work performed by Progle personnel for the client. There are no physical goods, no shipping, and no delivery charges.

The service is "delivered" as the work is performed — that is, time is rendered against the engagement during the agreed working period and recorded for invoicing. Any interim outputs, updates, or materials produced during that time are shared with the client through the working channels agreed for the engagement (for example, email, messaging, a shared drive, or a client-nominated repository), as and when appropriate to the work being carried out.

For the avoidance of doubt, Progle's fees are earned in respect of time worked and are payable regardless of whether any particular artifact, document, or item of work product is requested, accepted, or retained by the client. The form, scope, and ownership of any work product are matters for the signed agreement between Progle and the client.

Engagement start dates, working periods, and any milestones are defined per engagement in the relevant Statement of Work or order.

4. Refund & Cancellation Policy

4.1 No refunds. Progle's services are billed against time worked by our personnel. Once hours have been performed, the corresponding fees are earned and are non-refundable under any circumstances. This includes, without limitation, fees for completed work, work in progress, and time reserved at the client's request.

4.2 Cancellation of future work. Either party may terminate or pause a future engagement in accordance with the notice provisions of the signed agreement between Progle and the client. Termination does not entitle the client to a refund of fees already invoiced or paid for work performed up to the effective date of termination.

4.3 Billing queries. Any question about an invoice should be raised with Progle in writing at gordon@gordonite.tech. Progle will review the query at its discretion. Raising a query does not suspend the client's payment obligations, does not entitle the client to a refund, and does not vary clause 4.1 (No refunds). All fees for time worked remain payable in full. Where a chargeback is initiated in respect of fees properly earned for work performed, Progle reserves the right to defend the chargeback using its records of time worked and the signed engagement documents, and to recover any resulting costs from the client.

4.4 Consumers. Progle does not contract with consumers. Statutory consumer cancellation rights (such as those under the UK Consumer Contracts Regulations 2013) do not apply to B2B engagements.

4.5 Work Ceases without payment. If invoices are not paid on time work ceases after 72 hours of non payment.

5. Privacy Policy

Progle is the data controller for personal data processed in connection with our website and our provision of services. This section explains how we handle personal data under the UK GDPR and the Data Protection Act 2018.

5.1 What we collect. Depending on how you interact with us, we may collect: identity and contact details (name, job title, employer, business email, phone, address); client and prospect information shared during sales discussions or engagements; billing information (we do not store full card details — card payments are handled by Wise); technical data such as IP address, browser, and device information when you visit our website; and the content of communications you exchange with us.

5.2 How we collect it. We collect personal data directly from you when you contact us or engage our services, automatically when you visit our website, and occasionally from third parties such as your employer, public registries, or referrers.

5.3 Why we use it and our legal bases. We process personal data to respond to enquiries (legitimate interests; pre-contract steps), to deliver services under client engagements (performance of a contract), to invoice and keep financial records (legal obligation; contract), to manage client and supplier relationships and run our business (legitimate interests), to send relevant business communications to existing clients (legitimate interests), to operate and secure our website (legitimate interests), to comply with legal, tax, and regulatory obligations (legal obligation), and to establish or defend legal claims (legitimate interests; legal obligation).

5.4 Who we share it with. We share personal data only where necessary, with parties bound by appropriate confidentiality and data protection obligations. Categories of recipients include our payment processor (Wise Payments Ltd), cloud and IT service providers (hosting, email, file storage, source control, productivity tools), professional advisers (accountants, lawyers, insurers), subcontractors engaged on client projects, and authorities or regulators where required by law. We do not sell personal data and do not share it for third-party advertising.

5.5 International transfers. Where personal data is transferred outside the UK, we rely on appropriate safeguards such as the UK International Data Transfer Agreement, the UK Addendum to the EU Standard Contractual Clauses, or transfers to jurisdictions covered by UK adequacy regulations.

5.6 Retention. We keep personal data only for as long as necessary. Typical retention periods are: prospect and enquiry data — up to 24 months from last contact; client engagement records and correspondence — for the duration of the engagement and 6 years after; invoicing and accounting records — 6 years, in line with UK statutory requirements; website technical data — typically 12 months.

5.7 Security. We use appropriate technical and organisational measures to protect personal data, including access controls, encryption in transit, secure authentication, and supplier due diligence. No system is completely secure, but we maintain a level of security appropriate to the risk.

5.8 Cookies. Our website uses a small number of cookies, which may include strictly necessary cookies (required for the site to function) and, where consented to, analytics cookies. You can manage cookie preferences in your browser at any time.

5.9 Your rights. Under UK GDPR you have the right to access your personal data, to have it corrected or erased, to restrict or object to its processing, to data portability, and (where we rely on consent) to withdraw consent. To exercise any of these rights, contact gordon@gordonite.tech. We will respond within one month. You also have the right to lodge a complaint with the UK Information Commissioner's Office (ico.org.uk; helpline 0303 123 1113), although we would appreciate the chance to address concerns directly first.
